Legal Officer – As Legal Officer, this role will drive the legal and Company Secretarial functions and activities of Avon HMO in an effective and efficient manner ensuring that the risk of the Company’s legal exposure are reduced to the barest minimum, optimization of contract management/protection of the Company from third parties and to also ensure that the image of the Company is promoted in a positive light.

Compliance Officer – As compliance officer, this role will also ensure that all members of staff of Avon HMO, it’s Board and relevant stakeholders strictly adhere to the Company’s internal policies and procedures as well as regulatory and statutory requirements in order to promote transparency and accountability, enhance risk management, improve operational efficiency and strengthen the internal control systems within its operations.

Duties/Responsibilities

1. Company Secretarial and Legal Advisory Support Services:

  • Guide the Board, Board C/Tees and Executive Management C/Tee on all governance, legal, regulatory and compliance matters and provide high quality and timely minutes.
    Manage corporate records by keeping up to date corporate registers and maintaining legal document management/ filing system. Additionally maintaining internal legal registers and dashboards relating to contracts, litigation, applicable laws and regulations.
  • Provide legal advisory services to the Company
  • Manage the Company’s litigation portfolio,
  • Protecting the of brand and IP rights of the Company

2. Contracts

  • Draft/review all contracts within 48hrs-72hrs of such request
  • Create a central pool of industry specific contract templates for adoption by relevant business divisions in the Company
  • Conduct random spot-checks on contracts to ensure the Company is adequately indemnified
  • Sensitize staff on key legal issues and key legal processes including
    contract management

3. Policy and Legislation

  • Conduct quarterly policy audits to ascertain that all relevant policies are in place and operational and to periodically liaise with the Risk Department to ensure that the policies are adequate, remain relevant and reflect the required business needs.
  • Develop and implement comprehensive campaigns for policy sensitization amongst all staff through a dedicated Compliance portal.
  • Measure staff’s knowledge of policies with the aim of quantifying effect of policy sensitization campaign – prepare report on improvement in knowledge and compliance 30 days after each awareness campaign.
  • Ensure that key stakeholders in the Company are updated on all regulatory and legal changes to existing laws and regulations within 14 days of such changes and notified of all existing regulatory filings at least 7 days before the due date and license renewal obligations at least 30 days before the due date and advise on appropriate action where applicable,

4. Regulatory Compliance

  • Communicating regulatory compliance-related issues to employees across all divisions of the Company.
  • Ensure the business achieves and maintains compliance with all current and future regulatory requirements in all areas of responsibility.
  • Act as regulatory compliance support and counsel for the senior management and of the business.
  • Monitor and test compliance with regulatory and statutory requirements across all business areas
  • Manage regulatory inspections, examinations and reporting obligations.
  • Educate the entire company on practices that will ensure the highest possible level of regulatory compliance.
  • Lead targeted regulatory compliance training sessions.

Education/Experience Requirements

  • A university Degree in law with a minimum qualification of 10 – 12 years.
  • Must have been called to the Nigerian Bar.
  • A minimum of 10 years Legal practice experience and experience as a corporate internal counsel & company secretary.
  • MBA is also an advantage
